Board of Directors Non-Executive Directors Committee

Committees of the Board
The Board is advised and assisted by three board committees, namely the Audit and Risk Committee, the Finance Committee and the Transformation and Development Committee. Board committees are mechanisms that help and assist the Board to discharge its responsibilities. They also assist the directors in providing them with detailed information pertaining to specific areas with regard to their duties and responsibilities, such as auditing, risk management, human resources and finance. Board committees meet at least once every quarter. All the committees adopted formal Terms of Reference (ToR) and they provide the required feedback to the Board via committee reports. The Terms of Reference of board committees are reviewed annually, in order to ensure that they are still relevant, i.e. in line with best practice and good governance.

The CEO is an ex officio member of all these committees.

Transformation and Development Committee
The Transformation and Development Committee is responsible for overseeing human resources strategies and policies and submits these to the Board for approval. These strategies and policies include, but are not limited to a review of staff remuneration, human resources policies as well as Conditions of Service.

Members of the Transformation and Development Committee are:

  • Ms TN Mgoduso (Chairperson)
  • Prof. DG van der Merwe
  • Mr BA Ramahlo
  • Mr D Elbrecht
  • The Rev. PJ Grové, who has been replaced by Mr WN Lesufi.

Audit and Risk Management Committee
The Audit and Risk Management Committee comprises three non-executive directors and one member representing the Independent Audit Committee. A non-Executive Director, who is not the Chairman of the Board, chairs the committee. The Audit and Risk Management Committee assists the Board in overseeing:

  • the integrity of the NNR’s financial statements;
  • the NNR’s compliance with legal and regulatory requirements;
  • the performance of the NNR’s Internal Audit Activity
  • the safeguarding of assets; and
  • the running of adequate systems and control processes.
The members of the Committee are:
  • Adv. BM Mkhize (Chairperson) (Resigned 31 March 2009)
  • Mr T Mofokeng
  • Mr J Rocha (Resigned in April 2008)
  • Mr WN Lesufi
  • Ms P Mzizi (representing the Independent Audit Committee)
Finance Committee
The Finance Committee assists the Board with all relevant financial matters, with a view to optimising the financial resources of the NNR. It is responsible for financial management reporting, organisational financial planning, budget development and budget control. Furthermore, it is also responsible for Information Technology, as well as information management of the organisation.
 
Members of the Finance Committee are:

  • Mr T Mofokeng

Executive Management Committee
The Executive Management Committee was constituted to assist the CEO in managing the organisation in terms of the authority delegated by the Board. Furthermore, the Executive Management Committee assists the Chief Executive Officer in guiding and controlling the overall direction of the business, and acts as a medium of communication and coordination between business units and the Board.
